Welcome to Taskpin! Our Terms and Conditions outline the obligations and responsibilities of Taskpin and its users on our platform. Please read these terms carefully before using our platform. In these Terms and Conditions, Taskpin has updated information related to Fees.
User Agreement: www.taskpin.com Taskpin operates an online platform allowing users to connect through the Taskpin Platform with other users who provide services.
Please read these terms and all policies, including the Community Guidelines and Privacy Policy, carefully before using the Taskpin Platform. These policies are incorporated into this Agreement by reference.
Key Terms
- Taskpin: the legal entity that provides the Taskpin Platform and the Services to Users.
- Taskpin Platform: the online platform operated by Taskpin that enables Users to access and use the Services.
- User: any person or entity that accesses or uses the Taskpin Platform or Services, including Taskers and Pinners.
- Tasker: a User who offers to perform Services for other Users through the Taskpin Platform.
- Pinner: a User who posts a task on the Taskpin Platform and seeks a Tasker to perform the Services.
- Pinned Task: a task pinned by a Pinner on the Taskpin Platform, including the deadline for completion, price, and description of the Services to be provided.
- Offer: an offer made by a Tasker in response to a Pinned Task to perform the Services, or an offer made by a Pinner for the performance of Services by a Tasker when using Search Assist.
- Agreed Price: the price for Services agreed between the Pinner and the Tasker, including any variations or amendments agreed before or subsequent to the creation of a Task Contract.
- Task Contract: the contract between a Pinner and a Tasker for the performance of Services.
- Payment Provider: an entity appointed by Taskpin that manages and operates the Payment Account, including accepting payments from and making payments to Users.
- Payment Account: the account operated by the Payment Provider for the purpose of processing payments related to the Services.
- Service Fee: the fee payable to Taskpin by Users for the provision of the Services.
- Cancellation Admin Fee: the fee payable by a Pinner or a Tasker for cancelling a Task Contract and will not exceed a certain percentage of the Agreed Price.
- Verification Icon: a badge issued to a User based on the User meeting certain qualifications or other thresholds, as determined and set by Taskpin.
- Non-excludable Condition: any implied condition, warranty, or guarantee in a contract, the exclusion of which would contravene the law or cause any part of the contract to be void.
Taskpin Services
- Taskpin provides the Taskpin Platform to enable Users to publish Pinned Tasks.
- Other Users (Taskers) may make an Offer in response to a Pinned Task. Some parts of Offer details may be made publicly available, including to internet users who are not Users.
- A Pinner may revoke or modify a Pinned Task at any time before accepting an Offer. Taskpin reserves the right to cancel all Offers on a Pinned Task made prior to the modification.
- If a Pinner accepts an Offer on the Taskpin Platform, a Task Contract is created between the Tasker and the Pinner.
- Upon creation of a Task Contract, the Pinner must pay the Agreed Price into the Payment Account.
- Upon creation of the Task Contract, Taskpin has rendered its services and the Service Fee is due and payable.
- Once the Task Contract is created, the Tasker and Pinner may vary the Task Contract on the Taskpin Platform. The Pinner and Tasker are encouraged to use Taskpin's private messaging system to amend or vary the Task Contract (including the Agreed Price) or to otherwise communicate.
- Once the Services are complete, the Tasker must provide notice of that on the Taskpin Platform.
- Once the Services are complete, the Pinner must provide notice of that on the Taskpin Platform.
- Once the Pinned Task has been completed and the Pinner confirms the Services are completed, or if Taskpin is satisfied the Services have been completed, the Tasker Funds will be released by Taskpin from the Payment Account to the Tasker. However, this process does not apply to the payment of Recurring Services, which is addressed in another section of these terms and conditions.
- After the Task Contract is completed, the parties are encouraged to review and provide feedback of the Services on the Taskpin Platform.
Taskpin's Role and Obligations
- Taskpin provides the Taskpin Platform only, enabling Users to publish and make Offers on Pinned Tasks or publish Offers for Services or make Instant Claims of Tasker Listings.
- Taskpin only permits individuals over 18 years of age to become Users.
- Users must be natural persons, but can specify within their account description that they represent a business entity.
- At its absolute discretion, Taskpin may refuse to allow any person to register or create an account with Taskpin or cancel or suspend or modify any existing account including if Taskpin reasonably forms the view that a User's conduct (including a breach of this Agreement) is detrimental to the operation of the Taskpin Platform.
- Registering and creating an account with Taskpin is free. There is no charge for a Pinner to pin tasks, or for other Taskpin Users to review content on the Taskpin Platform, including Pinned Tasks.
- Taskpin accepts no liability for any aspect of the Pinner and Tasker interaction, including but not limited to the description, performance, or delivery of Services.
- Taskpin has no responsibility and makes no warranty as to the truth or accuracy of any aspect of any information provided by Users, including, but not limited to, the ability of Taskers to perform tasks or supply items, or the honesty or accuracy of any information provided by Pinners or the Pinners' ability to pay for the Services requested.
- Except for liability in relation to any Non-excludable Condition, the Taskpin Service is provided on an 'as is' basis, and without any warranty or condition, express or implied. To the extent permitted by law, we and our suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.
- Taskpin has no obligation to any User to assist or involve itself in any dispute between Users, although may do so to improve User experience.
- You understand and agree that Taskpin does not undertake any investigation in relation to any tasker or third party service provider before they are admitted to the platform, including criminal checks, verification of qualification or license held, or any character or other checks of the suitability of a tasker or third party service provider to perform any task which they may claim to be able to provide on the platform. You understand and agree that you are solely responsible for conducting any appropriate background checks and obtaining references, licenses, certifications, or proof of insurance prior to engaging a tasker to perform services. You further understand and agree that you are solely responsible for making your own evaluations, decisions and assessments about choosing a tasker. You agree to assume all risks and you agree to expressly release, indemnify and hold harmless Taskpin from any and all loss, liability, injury, death, damage, or costs arising or in any way related to the services.
User Responsibilities
As a user of Taskpin's services, it is your responsibility to ensure that you adhere to the following obligations:
- Compliance: You must comply with all applicable laws and regulations as well as Taskpin's policies and agreements.
- Accurate information: Only pin accurate information on the Taskpin platform.
- Awareness of laws: You must be aware of any laws that apply to you as a user of Taskpin's services.
- Use of content: Any content on Taskpin's platform, whether provided by Taskpin, a user, or a third party, may not be used on third party sites or for other business purposes without Taskpin's prior permission.
- No illegal or immoral activity: You must not use Taskpin's platform for any illegal or immoral purpose.
- Account control: Maintain control of your Taskpin account at all times and do not allow others to use your account. You must not transfer or sell your account or any of its content to another person.
- Content license: Grant Taskpin an unrestricted, worldwide, royalty-free license to use, reproduce, modify, and adapt any content and information pinned on the platform for the purpose of publishing material on the platform, providing Taskpin services, promoting the platform, and as permitted by the agreement.
- Harmful information: Any information pinned on the Taskpin platform must not be potentially or actually harmful to Taskpin or any other person, including economic loss that may be suffered by Taskpin.
- Information accuracy: Any information you supply to Taskpin or publish in an offer or pinned task must be up to date and kept up to date. It must not be false, inaccurate, misleading, or deceptive. You must not engage in fraudulent activity or involve the sale of counterfeit or stolen items.
- Intellectual property: You must not infringe any third party's copyright, patent, trademark, trade secret, or other proprietary or intellectual property rights, rights of publicity, confidentiality, or privacy.
- Compliance with laws: You must not violate any applicable law, statute, ordinance, or regulation, including but not limited to those governing export and import control, consumer protection, unfair competition, criminal law, antidiscrimination, and trade practices/fair trading laws.
- Prohibited content: You must not pin defamatory, libellous, threatening, or harassing content, or any material that is obscene or inappropriate, including images that are obscene, inappropriate, or unlawful. You must not pin any malicious code, data, or instructions that may cause harm or interfere with Taskpin's platform or access without authority any system, data, or personal information.
- Personal information: Taskpin's platform may display the location of users to persons browsing the platform. You should never disclose personal details such as your full name, street number, phone number, or email address in a pinned task or any other public communication on the Taskpin platform.
- Tasker responsibilities: If you are a tasker, you must have the right to provide services under a task contract and comply with tax and regulatory obligations in relation to any payment received under a task contract. You must not charge a poster any fees on top of the tasker funds. You must not request payments outside of the Taskpin platform from the poster for services, except to the extent permitted by Taskpin. If a tasker agrees to pay some costs of completing the services, they are solely responsible for obtaining any reimbursement from the poster.
- Subcontracting: If a tasker subcontracts any part of the performance of the services to a third party in accordance with a task contract, then that third party must also be a registered user of the Taskpin platform.
- Payment Requests and Reimbursement: You are prohibited from requesting payments outside of the Taskpin platform, If you incur costs related to completing a task, you are responsible for obtaining reimbursement from the poster, and you should not agree to incur costs in advance of payment unless you are confident that the poster will reimburse you promptly.
- Third-Party Subcontracting: If you subcontract any part of a task to a third party, that party must also be a registered user of Taskpin to ensure proper operation of the platform, including compliance with policies and insurance.
- Breach of Obligations: If Taskpin determines that you have breached any obligations listed or breached one or more task contracts, it reserves the right to remove any content, pinned tasks, or offers you have submitted to the Taskpin platform, as well as cancel or suspend your account and/or any task contracts.
- Liability and Indemnity: You are solely responsible for any loss, damage, or injury you may suffer as a result of using the Taskpin platform, and you agree to indemnify Taskpin for any losses or damages resulting from your use of the platform. Taskpin is not liable for any losses or damages suffered by posters or taskers, nor is it liable for any third-party claims or damages related to your use of the platform.
Fees for Taskpin Services
- A Pinner Service Fee is payable to Taskpin for bookings made on the Platform. When a Customer accepts a Tasker's offer, a Task Contract is formed, and the Customer will be charged the Agreed Price plus the Pinner Service Fee.
- When a Customer releases the Task Payment to the Tasker, Tasker Service Fee and Pinner Service Fee will be retained by Taskpin.
- The Pinner Service Fee and the Tasker Service Fee include HST (Harmonized Sales Tax) or any other applicable taxes on supplies, including GST (Goods and Services Tax).
- All Fees and charges payable to Taskpin are non-cancellable and non-refundable, except for Your rights under any Non-Excludable Conditions.
- If Taskpin introduces a new service on the Taskpin Platform, the Fees applying to that service will be payable from the launch of the service.
- Taskpin reserves the right to amend the amount of the Pinner Service Fee from time to time, and any changes will be updated on Taskpin's website.
Payments and Refunds
- If the Task Contract is cancelled for any reason (by a Pinner, a Tasker or under this Agreement) prior to the commencement of the Task Contract, then if Taskpin is reasonably satisfied that the Agreed Price should be returned to the Pinner then the Agreed Price will be refunded to the Pinner as Stored Value and a Cancellation Admin Fee will be due to Taskpin by the User who the cancellation of the Task Contract is attributable to.
- Taskpin may decide in its absolute discretion to refund the Agreed Price back onto the Pinner's credit card instead of Stored Value or waive the Cancellation Admin Fee.
- Any amount returned by Taskpin to a Pinner on behalf of a Tasker under this section will be a debt owed by the Tasker to Taskpin and may be offset by Taskpin against any other payments owed at any time to the Tasker.
- Any outstanding Cancellation Admin Fee owed by a User under this section will be a debt owed by that User to Taskpin and may also be offset by Taskpin against any other payments owed at any time to the User.
- Cancellation of a Task Contract will be attributable to the Tasker where:
- the Pinner and the Tasker mutually agree to cancel the Task Contract; or
- following reasonable but unsuccessful attempts by a Pinner to contact a Tasker to perform the Task Contract, the Task Contract is cancelled by the Pinner; or
- the Tasker cancels the Task Contract; or
- a Task Contract is cancelled as a result of the Tasker's actions or breach.
- A Cancellation of a Task Contract will be attributable to a Pinner where:
- the Pinner cancels the Task Contract (other than in accordance with the section above); or
- a Task Contract is cancelled as a result of the Pinner's actions or breach.
- If the parties agree to any additional cancellation fee payable under the Task Contract, it is the responsibility of the party aggrieved to claim any amount owed directly from the other.
- Taskpin may take up to 14 days to return the Agreed Price (less the Cancellation Admin Fee, if applicable) to the Pinner.
- If, for any reason, the Tasker Funds cannot be transferred or otherwise made to the Tasker or returned to the Pinner (as the case may be) or no claim is otherwise made for the Tasker Funds, the Tasker Funds will remain in the Payment Account until paid or otherwise for up to three months from the date the Pinner initially paid the Agreed Price into the Payment Account.
- Following the 3 months referred to above, and provided there is still no dispute in respect of the Tasker Funds, the Tasker Funds will be credited to the Pinner as Stored Value.
- If the Task Contract is cancelled and a User who is party to the Task Contract can show that work under a Task Contract was commenced, then the amount of the Agreed Price to be returned to the Pinner will be conditional upon the mediation and dispute process. However, the Cancellation Admin Fee will always be due.
Payment Facility
- Taskpin uses a Payment Provider to operate the Payment Account.
- In so far as it is relevant to the provision of the Payment Account, the terms at Stripe Services Agreement - Canada are incorporated into this Agreement and will prevail over this Agreement to the extent of any inconsistency in relation to the provision of the Payment Account.
- If Taskpin changes its Payment Provider, users may be asked to agree to any further additional terms with those providers. If a user does not agree to them, they will be given alternative means of payment.
- Complaints about any comment made on the Taskpin platform can be reported using the 'Report' function of the Taskpin platform or by contacting Taskpin through the platform.
- Taskpin reserves the right to suspend or terminate a user's account if Taskpin, in its sole and absolute discretion, is concerned by any feedback about the user or considers their feedback rating to be problematic for other Taskpin users.
Verification and Badges
- Taskpin uses a Payment Provider to operate the Payment Account.
- You agree that Taskpin Identity Verification Services may not be fully accurate as all Taskpin Services are dependent on User-supplied information and/or information or Verification Services provided by third parties.
- You are solely responsible for identity verification and Taskpin accepts no responsibility for any use that is made of a Taskpin Identity Verification Service.
- Taskpin Identity Verification Services may be modified at any time.
- TasThe Taskpin Platform may also include a User-initiated feedback system to help evaluate Users.
- Taskpin may make Badges available to Taskers. The available Badge can be requested by the Tasker via the Taskpin Platform, and arranged on behalf of the Tasker and issued by Taskpin, for a fee. Obtaining Badges may be conditional upon the provision of certain information or documentation by the Tasker and determined by Taskpin or a third party verifier which shall be governed by its terms.
- You acknowledge that Badges are point in time checks and may not be accurate at the time it is displayed. You acknowledge that to the extent You relied on a Badge in entering into a Task Contract, you do so aware of this limitation. You should seek to verify any Badge with the Tasker prior to commencing the task.
- It remains the Tasker's responsibility to ensure that information or documentation it provides in obtaining a Badge is true and accurate and must inform Taskpin immediately if a Badge is no longer valid.
- Taskpin may, at its discretion, issue Badges to Taskers for a fee.
- The issue of a Badge to a Tasker remains in the control of Taskpin and the display and use of a Badge is licensed to the Tasker for use on the Taskpin Platform only. Any verification obtained as a result of the issue of a Badge may not be used for any other purpose outside of the Taskpin Platform.
- Taskpin retains the discretion and right to not issue, or remove without notice, a Badge if You are in breach of any of the terms of this Agreement, the Badge has been issued incorrectly, obtained falsely, has expired, is no longer valid or for any other reason requiring its removal by Taskpin.
Reviews
- Complaints about any comment made on the Taskpin platform can be reported using the 'Report' function of the Taskpin platform or by contacting Taskpin through the platform.
- Taskpin reserves the right to suspend or terminate a user's account if Taskpin, in its sole and absolute discretion, is concerned by any feedback about the user or considers their feedback rating to be problematic for other Taskpin users.
Limitation of Liability
- Parties exclude all Consequential Loss except for liability in relation to a breach of a Non-excludable Condition, arising out of or in connection to the Services, and any claims by any third person, or the Task Contract, even if the party causing the breach knew the loss was possible or the loss was otherwise foreseeable.
- Liability of each party to the other except for a breach of any Non-Excludable Condition is capped at the Agreed Price.
- Any insurance or agreement to the contrary may affect the liability of each party.
Disputes
- Taskpin encourages users to try to resolve disputes with other users directly.
- Taskpin may provide user information to other parties involved in a dispute, as it deems appropriate.
- If a dispute arises, the user must make a genuine attempt to resolve the issue with the other user.
- Taskpin may assist users in resolving disputes, and users must cooperate with any investigations undertaken by Taskpin.
- Taskpin reserves the right to make a final determination, based on the information provided by users, and direct the Payment Provider to make payment accordingly.
- Users may raise their dispute with the other user or Airtasker's determination in an applicable court or tribunal.
- Taskpin may hold any Agreed Price that is the subject of a dispute in the Payment Account until the dispute has been resolved.
- Taskpin may provide access to a Third-Party Dispute Service, and users are responsible for paying any costs associated with it.
- Disputes with any Third-Party Service provider must proceed pursuant to any dispute resolution process set out in the terms of service of the Third-Party Service provider.
- If a user has a complaint about the Taskpin service, they can contact Taskpin.
- If Taskpin provides user information to resolve disputes, the information will only be used for that purpose, and users will be responsible for any costs or liabilities incurred by Taskpin due to any other use of the information.
Termination
- Termination can be initiated by either Taskpin or the user at any time and for any reason.
- Termination of the agreement does not impact any Task Contract that has been formed between Taskpin users.
- Third-party services are governed by the terms and conditions of the respective third-party service provider.
- Certain sections, such as Fees, Limitation of Liability, Disputes, and other applicable terms will survive termination or expiration of the agreement.
- If the user's account or the agreement is terminated, they cannot create any further accounts with Taskpin without Taskpin's consent, and Taskpin may terminate any other accounts operated by the user.
General
- This Agreement is governed by the laws applicable in the jurisdiction where Taskpin operates.
- The provisions of this Agreement are severable, and if any provision of this Agreement is held to be invalid or unenforceable, such provision may be removed and the remaining provisions will be enforceable.
- This Agreement may be assigned or novated by Taskpin to a third party without your consent. In the event of an assignment or novation, the User will remain bound by this Agreement.
- This Agreement sets out the entire understanding and agreement between the User and Taskpin with respect to its subject matter.
